Products – Goods supplied by Nice Smart
Client – Any individual, company, distributor, or organization purchasing or engaging with our products/services.
Order – A confirmed purchase request made by the Client.
Contract – A legally binding agreement formed when Nice Smart accepts an Order.
All quotations are valid for 30 days unless otherwise stated.
Orders are binding only after written confirmation from Nice Smart (via email, signed agreement, or invoice).
Minimum Order Quantities (MOQ) may apply depending on product category.
We reserve the right to reject or modify any order before acceptance.
All prices are quoted in [USD / CNY] unless agreed otherwise.
Prices exclude taxes, customs duties, tariffs, and shipping costs unless stated.
Payment terms are:
Prepaid (for new clients or small orders).
30 days credit (for approved accounts).
Late payments may incur interest at 5% per month plus collection costs.
Ownership of goods remains with Nice Smart until full payment is received.
Delivery terms follow Incoterms® 2020 (e.g., FOB, CIF, EXW) as specified in quotations or contracts.
Risk transfers to the Client once goods are handed to the carrier, unless otherwise agreed.
Delivery dates are estimates only. We are not liable for delays caused by carriers, customs, or force majeure events.
Partial deliveries may be made and invoiced separately.
The Client must inspect products upon receipt.
Claims for shortages, damages, or defects must be submitted in writing within 7 business days of delivery.
If no claim is made within this period, goods are deemed accepted.
Returns are only accepted with prior written authorization.
Customized or special-order items are non-returnable.
Cancelled orders may be subject to cancellation fees covering materials, labor, and logistics already incurred.
Nice Smaer warrants that products meet agreed specifications and are free from material defects for 24 months from delivery.
Warranty excludes:
Improper installation, misuse, or negligence by the Client.
Normal wear and tear.
Third-party modifications or repairs.
Our liability under warranty is limited to repair, replacement, or refund at our discretion.
Nice Smart shall not be liable for indirect, incidental, or consequential damages, including loss of profit, business, or goodwill.
Our total liability in any contract shall not exceed the total price paid for the products concerned.
All designs, patents, trademarks, software, and technical data remain the property of Nice Smart.
No rights or licenses are granted unless explicitly agreed in writing.
The Client shall not copy, reverse-engineer, or reproduce our products without authorization.
The Client is responsible for compliance with all local laws, import/export regulations, and certifications.
Products may be subject to restrictions under international law.
The Client agrees not to use or resell products for unlawful purposes.
Both parties agree to treat all non-public business information (pricing, contracts, designs, client lists) as confidential.
This obligation survives termination of the business relationship.
Neither party shall be liable for delays or failure due to events beyond reasonable control, including natural disasters, strikes, supply chain disruptions, or government restrictions.
Either party may terminate the agreement with written notice if the other party materially breaches these Terms.
Outstanding obligations (including payment) remain enforceable after termination.
We reserve the right to amend these Terms at any time. Updates will be published on our website and apply to future orders.
